Effective Date: 1 January 2026•Last Updated: 27 September 2026•Edition: 2.0

1. Platform Scope & Role

Prime Business provides high-reliability software orchestration, dynamic intake questionnaires, secure document vaults, and workflow tracking for corporate formation, statutory tax filings, MCA compliances, and legal document generation in India.

By creating an account, initiating a service application, or submitting data via our platform or verified WhatsApp channel, you agree to be bound by these Terms of Service and our Privacy Policy.

2. Professional Oversight & Architectural Boundaries

Qualified Professional Certification

All statutory certifications, e-form attestations, audit reviews, and regulatory submissions are conducted by duly licensed Chartered Accountants (ICAI), Company Secretaries (ICSI), or Advocates. Prime Business provides the technology infrastructure and workflow engine.

AI Governance Rule

AI models operate strictly as assistive tools for intake parsing, document classification, and validation checks. AI is never authorized to independently approve filings or render legal advice. Complete human professional review is always enforced.

Accounting Platform Boundary Notice: Prime Business commercially offers CA-reviewed compliance and filing services. Prime Business does not operate an internal double-entry accounting engine, general ledger, or bank reconciliation engine. Clients provide structured accounting outputs (trial balances, audited statements) or utilize authorized external integrations.

3. Client Responsibilities & Statutory KYC

As a user or client organization, you represent and warrant that:

  • All identity information, Permanent Account Numbers (PAN), Aadhaar details, address proofs, and corporate resolutions submitted are authentic, current, and legally valid.
  • You are authorized by the relevant entity, board of directors, or partners to initiate statutory filings on their behalf.
  • You will respond promptly to requests for clarifications, additional documents, or OTP authorizations required by government registries (MCA, GSTN, Income Tax).

4. Meta WhatsApp Business & Communications

By providing your mobile telephone number, you consent to receive operational and transactional notices relating to your application via the official Meta WhatsApp Business Cloud API, SMS, and email.

Notifications include filing receipt confirmations, government query notices, and statutory deadline alerts. You may adjust communication preferences or request cessation of non-critical messaging through the Client Portal.

5. Professional Fees & Commercial Invoicing

Service pricing is composed of: (a) transparent Prime Business professional and orchestration fees, and (b) statutory government fees and stamp duties determined by the applicable Ministry or State jurisdiction.

All commercial payments are invoiced with compliant Goods and Services Tax (GST) tax invoices. Statutory government fees paid on behalf of clients to the Ministry of Corporate Affairs, Income Tax Department, or State Stamp Registrars are supported by official government challan receipts.

6. Deliverables & Encrypted Document Vault

Upon completion of each statutory milestone, the client is issued official statutory deliverables (Certificate of Incorporation, DIN allotment letter, PAN/TAN card, GST certificate, filed forms, or challan receipts).

All deliverables are archived in the client's encrypted Document Vault, accessible via secure authenticated sessions. In accordance with the Companies Act 2013, records of completed corporate filings are preserved for a minimum of eight (8) financial years.

7. Limitation of Liability & Governing Law

Prime Business makes every diligent effort to ensure that filings meet government SLAs. However, Prime Business and its professional partners are not liable for delays caused by government portal outages (e.g., MCA21 portal maintenance, GSTN server downtime), regulatory rejections resulting from inaccurate client disclosures, or government name availability disputes.

These terms are governed by the laws of the Republic of India. Any disputes arising from these terms or platform services shall be subject to the exclusive jurisdiction of the competent courts in India.
